Welcome to Orbit. These Terms of Use ("Terms") govern your use of the Orbit application, operated by Orbit Verse ("we", "our", or "Orbit"). By creating an account, accessing, or using Orbit, you fully agree to these Terms. If you do not agree, do not use the service.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION CLAUSE, LIMITATION OF LIABILITY, AND ASSUMPTION OF RISK THAT AFFECT YOUR LEGAL RIGHTS.

1. Nature of the Service

1.1. Orbit is a technology platform that acts exclusively as an intermediary for connections between users in public venues. Orbit is NOT a dating agency, professional matchmaking service, nor does it assume any role of curation, compatibility verification, or personal recommendation.

1.2. Orbit allows users to check in at public venues (bars, restaurants, cafés, events) and view other users present at the same location, facilitating spontaneous connections based on physical presence.

1.3. Orbit does not conduct criminal background checks, history investigations, identity validation beyond CPF (Brazilian tax ID), or any form of background check on its users. You acknowledge that Orbit does not guarantee the identity, character, intentions, or conduct of any user.

2. Eligibility

2.4. Parents and legal guardians must supervise device use by minors and prevent access to Orbit.

3. Your Account

3.1. You are fully responsible for maintaining the confidentiality of your access credentials and for all activities performed in your account.

3.2. You agree to notify us immediately of any unauthorized use of your account.

3.3. Each person may maintain only one active account. Creating multiple accounts is prohibited and will result in a ban.

5.1. Violation of any of the above may result in temporary suspension or permanent ban, at Orbit's sole discretion, without prior notice.

6. User Content

6.1. You are solely responsible for content you publish on Orbit, including photos, texts, and messages.

6.2. By publishing content on Orbit, you grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, copy, modify, adapt, publish, and display such content in connection with the operation and promotion of the service.

6.3. This license terminates when you delete your content or account, except when content has been shared with other users who have not removed it, or when necessary for compliance with a legal obligation.

6.4. Orbit reserves the right to remove any content that violates these Terms, applicable law, or that it considers inappropriate, without prior notice or justification.

7. Subscriptions and Payments

7.1. Orbit offers free and paid plans (Intermediate and Premium). Paid plans are processed exclusively through the Apple App Store.

7.2. By subscribing to a paid plan, you agree to the Apple App Store's payment terms. Orbit does not process payments directly and has no access to your credit card data.

7.3. Auto-renewal: Subscriptions automatically renew at the end of each period unless cancelled by the user at least 24 hours before the end of the current period.

7.4. Cancellation: You may cancel your subscription at any time through the App Store settings on your device. Cancellation takes effect at the end of the paid period.

7.5. Refunds: Refunds are processed exclusively by Apple, according to App Store policies. Orbit does not issue direct refunds.

7.6. Orbit reserves the right to change plan prices with 30 days' prior notice. Price changes do not affect the current subscription period.

8. Assumption of Risk

8.1. YOU ACKNOWLEDGE AND AGREE THAT USING ORBIT AND ANY INTERACTION WITH OTHER USERS, WHETHER WITHIN OR OUTSIDE THE PLATFORM, IS AT YOUR OWN RISK.

8.2. Orbit acts only as a technological intermediary. Any interaction, in-person meeting, or communication between users is the sole responsibility of the parties involved.

9.1. ORBIT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.3. Orbit does not guarantee the truthfulness, accuracy, or completeness of information provided by users in their profiles.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBIT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

10.2. In any case, Orbit's total liability will be limited to the greater of: (a) the amount actually paid by you in the 12 months prior to the event giving rise to the claim; or (b) BRL 100.00 (one hundred Brazilian reais).

10.3. The above limitations apply regardless of the legal theory invoked (contract, tort, negligence, or other) and even if Orbit has been informed of the possibility of such damages.

11. Indemnification

11.1. You agree to defend, indemnify, and hold harmless Orbit, its directors, employees, partners, and service providers against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

12. Reports and Cooperation with Authorities

12.1. Orbit provides blocking and reporting tools within the application. We encourage users to report any conduct that violates these Terms.

12.2. Reports are reviewed by the Orbit team and may result in warning, suspension, or ban of the reported user.

12.3. Orbit cooperates with law enforcement and judicial authorities, and may provide user data upon valid court order or legal request.

12.4. In cases of imminent threat to life or physical integrity, Orbit may share information with authorities regardless of court order, as permitted by applicable law.

13. Intellectual Property

13.1. Orbit, including its name, logo, design, source code, features, and original content, is the exclusive property of Orbit Verse, protected by applicable intellectual property laws.

13.2. These Terms do not grant you any rights to Orbit's intellectual property, except the limited right to use the application as described herein.

14. Dispute Resolution

14.1. Jurisdiction: The parties elect the courts of the District of Belo Horizonte, State of Minas Gerais, Brazil, to resolve any disputes arising from these Terms, waiving any other jurisdiction, however privileged.

14.2. Prior mediation: Before initiating any legal proceedings, the parties commit to attempting to resolve the dispute amicably within 30 (thirty) days through written communication to suporte@orbitverse.io.

14.3. Class action waiver: To the maximum extent permitted by law, you agree that any claim or dispute will be conducted individually, not as part of a class action, representative action, or joint action.

15. Modifications to the Terms

15.1. Orbit reserves the right to modify these Terms at any time. Significant changes will be communicated at least 30 days in advance via in-app notification or email.

15.2. Continued use of the service after changes take effect constitutes acceptance of the new Terms.

15.3. If you do not agree with the changes, you must stop using the service and delete your account.

16. Termination

16.1. You may close your account at any time through the app settings.

16.2. Orbit may suspend or terminate your account, at its sole discretion, if:

16.3. In case of a ban, you may not create a new account. Orbit reserves the right to use technical means to prevent re-registration.

16.4. After account closure, your data will be handled according to the Privacy Policy.

17. General Provisions

17.1. Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orbit.

17.2. Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force.

17.3. Waiver: Orbit's failure to exercise any right under these Terms does not constitute a waiver of such right.

17.4. Assignment: You may not assign or transfer your rights under these Terms. Orbit may assign its rights at any time.

18. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil, in particular the Civil Code (Law No. 10,406/2002), Consumer Protection Code (Law No. 8,078/1990), Brazilian Internet Civil Framework (Law No. 12,965/2014), and General Data Protection Law (Law No. 13,709/2018).
